Item 5.02		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On July 25, 2006, Mr. Frederic T. Boyer submitted his resignation as an employee and officer of Qualstar, effective as of August 18, 2006. Mr. Boyer has served as Vice President and Chief Financial Officer of Qualstar since October 2002. Mr. Boyer stated that he has accepted a position with another company which does not compete with Qualstar.
