Item 5.07 Submission of Matters to a Vote of Security Holders.
On July 15, 2010, Kid Brands, Inc. (the “Company”) held its 2010 Annual Meeting of Shareholders (the “2010 Meeting”).
Each of the seven nominees was elected, without contest, as a member of the Board of Directors (the “Board”) at the
2010 Meeting. There were 21,546,174 shares entitled to vote, and
16,235,037 shares present (in person or by proxy), at the 2010
Meeting. The voting results for each of the nominees for director were as follows:

As a result of the resignation of Lauren Krueger from the Board (and all applicable Board committees) as of March 30, 2010, there is currently a vacancy on the Compensation Committee of the Board, which the Board intends to fill in due course.
