On
September 13, 2006, GSE Systems, Inc. (the “Company”) accepted the resignation
of Mr. Douglas E. Sharp as Director of the Company’s Board. Prior to his
resignation, Mr. Sharp served on the Board since October 2003, and during his
tenure the Company and Mr. Sharp had no disagreements relating to our
operations, policies or practices.
