The number of shares outstanding of the Registrants Common Stock as of February 24, 2003 was 12,274,486 shares. The aggregate market value of the voting stock of the Registrant held by non-affiliates of the Registrant at the close of business on June 17, 2002 (the last business day of the registrants most recently completed second fiscal quarter) was $84.4 million. For purposes of the foregoing calculation only, all directors, executive officers and affiliated corporations through directors of the Registrant have been deemed affiliates.
EXPLANATORY NOTE
The annual report on Form 10-K for the year ended December 30, 2002 of Checkers Drive-In Restaurants, Inc. is hereby amended for the proper number of shares beneficially owned and percentage of shares outstanding in Item 12.
