Proxy Statement Supplement Dated April 9, 2002

The following constitutes an addendum to the biography of Mark D. Kucher contained in the enclosed Proxy Statement:

In connection with an investment by Sovereign Trust Company, from May 19, 1998 through mid-2001, Mr. Kucher served as president, chief executive officer and a director of e-Phoria Online Systems Inc., which was publicly traded in Canada (Vancouver Stock Exchange). After Mr. Kucher and Sovereign were no longer involved with e-Phoria, trading in e-Phoria's securities was halted on May 29, 2001 as a result of the company having failed to file certain periodic reports required by Canadian regulatory authorities.
