PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Electro Scientific Industries (the “Company”) is unable to file its Annual Report on Form 10-K for the period ended March 28, 2015 within the prescribed period. In connection with the preparation of the Company’s financial statements for the year ended March 28, 2015, management concluded that the Company should report multiple segments rather than a single segment. Recasting the Company’s previously reported results into segments and completing the associated evaluation of goodwill under segments is complex and time consuming. As a result, the Company cannot, without unreasonable effort and expense, file its Form 10-K on or prior to the prescribed due date. The Company expects to file its Form 10-K on or before the fifteenth calendar day following the prescribed due date.
