Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
    On April 20, 2010, R. Dale Ezzell was appointed as a director of Ameris Bancorp (the "Company") to fill a vacancy on the Company's Board of Directors.  Mr. Ezzell will receive the standard compensation paid to members of the Company's Board of Directors, as described in the Company's 2010 Proxy Statement filed with the SEC on March 22, 2010.  There are no understandings or arrangements between Mr. Ezzell and any other person pursuant to which he was selected as a director. 
 
   Mr. Ezzell is the Owner of Wisecards Printing.  He currently serves as a member of the Ameris Bank - Dothan, Alabama Community Board of Directors.
