Item 1.01. Entry into a Material Definitive Agreement.

On August 2, 2004, Kansas City Southern ("the Company," "KCS") announced the appointment of James S. Brook as Vice President and Comptroller of the Company. On February 2, 2005, KCS executed an Employment Contract with Mr. Brook. Mr. Brook’s employment contract is attached as Exhibit 10.1.
