The aggregate market value of the voting common equity held by non-affiliates of the registrant as of June 29, 2012 (the last trading day of the registrant’s most recently completed second quarter) was $409,983,908 based on the closing price of $3.96 per share of common stock on the New York Stock Exchange on June 29, 2012. The registrant had no nonvoting common equity outstanding as of June 29, 2012. EXPLANATORY NOTE

This Amendment No. 1 to the Annual Report on Form 10-K of First BanCorp. (the “Corporation”) for the fiscal year ended December 31, 2012 is being filed for the sole purpose of refiling Exhibit 99.3 because a portion of the exhibit was inadvertently omitted due to a financial printer error.

This Amendment No. 1 makes no other changes to the Annual Report on Form 10-K as filed with the U.S. Securities and Exchange Commission on April 1, 2013.
