Item 1.01. | Entry into a Material Definitive Agreement |
On August 15, 2011, ADESA, Inc. (ADESA), a subsidiary of KAR Auction Services, Inc. (the Company), entered into an Agreement and Plan of Merger (the Merger Agreement), by and among ADESA, Riley Acquisition, Inc. (Merger Sub), the Company, OPENLANE, Inc. (OPENLANE) and Shareholder Representative Services LLC, as the securityholders representative. Pursuant to the terms of the Merger Agreement, Merger Sub will merge with and into OPENLANE, with OPENLANE continuing as the surviving corporation and as a wholly-owned subsidiary of ADESA (the Merger). The Company is the guarantor of ADESAs obligations under the Merger Agreement.
In the Merger, each outstanding share of OPENLANE common stock and preferred stock (other than those shares of common stock or preferred stock held by OPENLANE) will be converted into the right to receive an amount in cash as set forth in the Merger Agreement. In addition, each outstanding OPENLANE stock option and warrant will be cancelled and converted into the right to receive an amount in cash based on the difference between the per share common consideration and the exercise price of the applicable stock option or warrant. The value of the cash consideration payable in the Merger is approximately $210 million, subject to increase based on the amount of OPENLANEs cash and cash equivalents at the closing of the Merger, as determined in accordance with the Merger Agreement. The Merger and the Merger Agreement have been approved by the Board of Directors of the Company, the Board of Directors of OPENLANE and the requisite stockholders of OPENLANE.
Consummation of the Merger is subject to customary conditions, including the expiration or termination of the Hart-Scott-Rodino waiting period. The Merger Agreement also contains customary representations and warranties, indemnification obligations and covenants, including, among other things, with respect to the operation of the business of OPENLANE and its subsidiaries between the signing of the Merger Agreement and the closing of the Merger.
