(b) By letter dated February 11, 2005, Torchmark Director George J. Records informed C. B. Hudson, Torchmark’s Chairman and Chief Executive Officer, that he would not stand for re-election for another term on the Board of Directors when his current term expires in April 2005. Mr. Records has no disagreements with Torchmark or its management relating to Company operations, policies or practices; he is reducing his activities that are unrelated to his family or the family business.
