Item 8.01 Other Events.
Anatole Klyosov, Ph.D., Chief Scientist of Pro-Pharmaceuticals, Inc., has adopted a pre-arranged stock trading plan in accordance with Rule 10b5-1 under the Securities Exchange Act of 1934. Under the plan, up to 100,000 of his shares of Pro-Pharmaceuticals common stock could be sold during a one-year period commencing September 2004 if pre-determined selling criteria, which may involve quantities, price points and dates, therein specified are met.
