On June 29, 2004, the registrant issued a press release announcing that it had priced a private offering of $75 million aggregate principal amount of its 3.50% Convertible Senior Debentures Due 2024 (plus an additional aggregate principal amount of the debentures of up to $7.5 million at the option of the initial purchasers).
