** Intentional misstatements or omissions of facts constitute Federal Criminal Violations. See 18 U.S.C. 1001 and 15 U.S.C. 78ff(a).
(1) Options have a four year vesting term. Options become exercisable as of 25% on 5/1/10 and 1/16th at the end of each three month period thereafter.
(2) Option will be earned on the next business day after Company files its fiscal 2009 Annual Report on Form 10-K, provided Company has reported non-GAAP earnings per share equal to or exceeding the 2009 financial target specified by its board of directors. In the event that Company does not meet the 2009 financial target, 50% of the option grant will be earned if Company reports non-GAAP earnings per share of $0.05 less than the 2009 financial target and the number of options earned will increase by 15,000 for each $0.01 increase in reported non-GAAP earnings per share up to the 2009 financial target. If earned, the option grant will vest, subject to continued employment, on October 31, 2010. Options not earned will be forfeited.
