(1) | Represents performance shares (restricted stock units) that will be converted on a one-for-one basis into shares of Applied Materials, Inc. common stock upon vesting. This grant consists of two parts. Under this grant (combining both parts), a maximum of 225,000 performance shares may vest. The performance shares will vest only after the satisfaction of specified performance goals. Under the first part of the grant, if specified performance goals are achieved, up to 112,500 performance shares may become scheduled to vest no earlier than in four equal annual installments beginning 12/19/08 (subject to continued employment). Under the second part of the grant, if other specified performance goals are achieved, the remaining 112,500 performance shares plus any performance shares that did not become eligible to vest under the first part of the grant may become scheduled to vest no earlier than in three annual installments beginning 12/19/09 (subject to continued employment). |
