(1) | The number of options that vested on January 1, 2007 is determined based upon the company's cumulative three year pre-tax operating income measured from 1/1/2004 to 12/31/2006. This option was authorized on May 21, 2004, but is deemed granted for the purposes of reporting on Form 4 at the time of vesting. The number of options reported is a good faith estimate and we intend to file an amendment to this Form 4 promptly after the company's Form 10-K is filed. The maximum number of options that may vest is 50,000. This grant to Mr. Naphtali was disclosed in the company's definitive proxy statement filed on March 15, 2005. |
