ITEM 1.01.                      ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
 
On January 27, 2011, Pluristem Therapeutics Inc., or the Company, entered into an underwriting agreement, or the Underwriting Agreement, with Oppenheimer & Co. Inc., as representative of the underwriters named therein, in connection with a public offering of 11,000,000 shares of the Company’s common stock, par value $0.00001 per share, or the Common Stock, and warrants to purchase 4,400,000 shares of Common Stock, or the Warrants.  Oppenheimer & Co. Inc. was the sole book-running manager for the offering and Needham & Company, LLC was the co-lead manager.
 
The shares of Common Stock and the Warrants will be sold in units, or the Units, with each Unit consisting of one share of common stock and one warrant to purchase 0.40 share of common stock. Each Unit will be sold at a public offering price of $3.25 per unit. The Company granted the underwriters a 30-day option to purchase from the Company up to an additional 1,650,000 shares of common stock and/or warrants to purchase up to 660,000 shares of common stock to cover over-allotments, if any.
 
The Warrants to be issued in the offering will generally be exercisable for a period of five years commencing 6 months following issuance, at an exercise price of $4.20 per share.  The Warrants are being issued pursuant to a Warrant Agreement to be entered between the Company and American Stock Transfer & Trust Company, LLC. The Warrants will not be listed on Nasdaq Capital Market or any other exchange and no trading market for the Warrants is expected to develop. The Warrants will be issued separately from the shares of Common Stock offered and may be transferred separately immediately upon issuance.
 
The offering is expected to close on February 1, 2011, subject to the satisfaction of customary closing conditions. The net proceeds to the Company are expected to be approximately $33.155 million, assuming no exercise of the over-allotment option or the Warrants and after deducting underwriting commissions and discounts and estimated expenses payable by the Company associated with the offering. The offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3 (Registration No. 333-171334) previously filed with the Securities and Exchange Commission, or SEC.
