Item 8.01. Other Events.

On June 17, 2009, Oil States International, Inc. (the "Company") issued a press release announcing the formation of a joint venture company with Uniao Engenharia Fabricacao e Montagem Ltda ("Uniao") will provide deepwater production and subsea pipeline solutions to Brazil's offshore construction industry.
