Item 8.01.     Other Events.

On December 10, 2014, Ventas, Inc. (the “Company”) announced that its Board of Directors declared a regular quarterly dividend of $0.79 per share, payable in cash on December 31, 2014 to stockholders of record on December 22, 2014.  The dividend is the fourth quarterly installment of the Company’s 2014 annual dividend.

A copy of the press release issued by the Company on December 10, 2014 is filed herewith as Exhibit 99.1 and incorporated in this Item 8.01 by reference.
