Item 7.01. Regulation FD Disclosure.
On May 19, 2008, Forest Oil Corporation announced the pricing of its offering to eligible purchasers of $250 million principal amount of additional 7.25% Senior Notes due 2019 at 100.25% plus accrued interest. Forest intends to use the net proceeds from the offering, together with borrowings under its bank credit facilities, to repay its 8% Senior Notes due 2008, upon maturity on June 15, 2008. Pending such use, Forest will apply the net proceeds to reduce borrowings under its bank credit facilities. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The notes will not be registered under the Securities Act of 1933, as amended (the Securities Act), or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
