The Registrant’s Form 6-K dated May 4, 2007 is hereby amended to include the following statement:

“The unaudited consolidated interim financial  statements  of Westpac for the six months ended March 31, 2007 and 2006 contained in Exhibit 2 to this Form 6-K (excluding the page immediately following the Directors’ Report and the last page of such Exhibit) shall be incorporated by reference in the prospectus relating to the Registrant’s debt securities contained in the Registrant’s Registration Statement on Form F-3 (File No. 333-10546), as such prospectus may be amended or supplemented from time to time.”
