Item 1.02. Termination of a Material Definitive Agreement
On October 6, 2006, Southwestern Public Service Company (SPS), a wholly owned subsidiary of Xcel Energy Inc., completed an offering of long-term debt. As a result, pursuant to the terms of its $350 million credit agreement among SPS, as borrower, the several lender parties thereto and Citibank, N.A., as administrative agent, dated August 23, 2006, the commitments under such bridge agreement terminated.
