Item 8.01 Other Events


On October 19, 2009,  Wind Works acquired a 70% equity ownership in Skyway 126 Wind Energy  Inc., an Ontario corporation,  in consideration for the issuance of 2 million shares of the Company’s common stock.   Skyway is the registered and beneficial owner of an existing 10 Megawatt wind energy project under development in Clearview Township in the Province of Ontario, Canada.


With the issuance of the 2 million shares,  there are currently 26,763,345 shares of common stock issued and outstanding.
