(b) On December 22, 2006, Gregory H. Upham, Vice President and Chief Accounting Officer of Integrated Electrical Services, Inc., tendered his resignation effective as of January 5, 2007. There are no disagreements between Mr. Upham and the Company. The Company plans to fill this position.
