Item 3.01.  Transfer of Listing.

On October 22, 2007, the Board of Directors of BioSante Pharmaceuticals, Inc. approved the listing of BioSante’s common stock on The NASDAQ Stock Market LLC and withdrawal from The American Stock Exchange.  On October 18, 2007, BioSante received a letter from The NASDAQ Stock Market LLC approving BioSante’s application to list its common stock on The NASDAQ Global Market.   BioSante provided The American Stock Exchange the required written notice of BioSante’s intention to withdraw the listing of its common stock from The American Stock Exchange on October 23, 2007.

BioSante expects that its common stock will begin trading on The NASDAQ Global Market under the new symbol “BPAX” in early to mid-November 2007.  BioSante’s common stock will continue to trade on The American Stock Exchange under the current symbol BPA until such date.
